Personal Data & Privacy
Use of this website and client portal is governed by our Privacy Policy and Cookie Policy, aligned with the Digital Personal Data Protection Act, 2023 and the DPDP Rules, 2025. Registration requires consent (Section 6 of the Act) to those notices. Where we process personal data on your behalf in a commissioned build, a Statement of Work or data-processing addendum may define respective roles (Data Fiduciary / Data Processor) under the Act.
Acceptance of Terms & Legal Capacity
These Terms of Service ("Terms") constitute a binding legal agreement between you ("Client", "User", or "you") and NB03 ("Agency", "Company", "we", "us"), operated by Nittish Baboria.
By visiting our website, creating an account, or signing a digital Statement of Work (SOW), you represent and warrant that you are at least 18 years of age and possess full legal capacity to enter into binding commercial contracts under the Indian Contract Act, 1872. If you are acting on behalf of a corporate entity, you warrant that you possess the requisite authority to bind that entity to these Terms.
Account Registration, Credential Security & OTP
When creating an account on NB03:
- Accurate Registration: You agree to provide true, accurate, and current contact details. Accounts created with fake, burner, or disposable emails may be suspended without notice.
- Credential Confidentiality: You are solely responsible for maintaining the confidentiality of your credentials, session tokens, and passwords. You agree not to share your account credentials with unauthorized third parties.
- Prompt Breach Notification: You must immediately report any suspected unauthorized access or compromise of your credentials to nittishbaboria123@gmail.com.

Third-Party Platform Compliance (Instagram, WhatsApp, Meta)
When commissioning or deploying automation workflows that interface with external networks (including Meta, Instagram, WhatsApp, YouTube, and Google):
You agree to use automation systems strictly for genuine transactional responses, inbound inquiry resolution, and opted-in lead generation. You warrant that you will never deploy our automation tools to send unsolicited spam, blast unauthorized mass DMs, or harass users.
You acknowledge that your accounts are governed by the respective terms of service of third-party platforms (e.g., Meta Terms of Service, Instagram Community Guidelines, WhatsApp Business Messaging Policy). NB03 is not responsible for policy violations committed by the Client.
Third-party platforms reserve the right to alter APIs, implement new rate limits, or adjust algorithms at any time. While we build resilient fallbacks, NB03 is not liable for account suspensions, temporary shadowbans, or API rate limitations imposed by third-party platforms resulting from Client content or excessive outbound volumes.
Billing Terms, Deposit Milestones & Taxes
Client service engagements are governed by individual Statements of Work (SOW) or official digital proposals:
- Milestone Advances: Custom software projects are structured with milestone payments (typically a 50% upfront discovery & architecture deposit before development commencement, and the remaining 50% upon final staging approval prior to production deployment and domain handover).
- Invoicing & Currencies: Invoices are billed in Indian Rupees (INR) for domestic clients, or USD / designated international currency for overseas clients.
- Applicable Taxes: Invoices are subject to applicable Goods and Services Tax (GST) and statutory Indian taxes as mandated by law.
Refund Policy & Cancellation Terms
Due to the bespoke, labor-intensive nature of custom web architecture, UI/UX design, and automation engineering:
Milestone Deliverables: Fees paid for completed milestone sprints and approved staging phases are strictly non-refundable. If a project is cancelled by the Client prior to milestone completion, billing is prorated based on engineering hours logged and technical deliverables produced up to the formal written termination date.
Monthly Retainers (SEO & Ongoing Maintenance): Ongoing retainer services require a minimum 15-day written cancellation notice before the commencement of the next billing cycle.
Intellectual Property & Deliverable Ownership
Upon receipt of full and final payment for the designated project:
- 100% Client Ownership: You own 100% of the custom source code, database structures, UI graphics, and tailored copywriting produced specifically for your bespoke deliverable.
- Pre-existing Tools & Boilerplates: NB03 retains ownership of its underlying utility libraries, open-source scaffolding, and foundational boilerplates used across projects. The Client is granted an irrevocable, perpetual, royalty-free license to use, modify, and host such code as part of their deliverable.
- Portfolio Rights: Unless protected by an explicit mutual Non-Disclosure Agreement (NDA), we reserve the right to feature the project title, screenshots, and business metrics in our portfolio (/work).
Acceptable Use & Platform Security Policy
You agree not to use our web application, APIs, or hosted systems to:
- ✕Engage in illegal, fraudulent, or harmful conduct under the Information Technology Act, 2000.
- ✕Conduct unauthorized penetration tests, vulnerability scans, SQL injection, or DDoS flood attacks against our infrastructure.
- ✕Distribute malware, trojans, phishing lures, or copyright-infringing assets.
- ✕Attempt to bypass API rate limits, brute-force authentication endpoints, or scrape proprietary database records.
Warranty Disclaimers & Limitation of Liability
Our web platform and digital engineering services are delivered on an "AS IS" and "AS AVAILABLE" basis. While we adhere to enterprise code quality and security standards:
In no event shall NB03, its operators, or technical contributors be liable for any indirect, special, incidental, punitive, or consequential damages (including loss of profits, loss of data, business disruption, or third-party platform account restrictions).
To the maximum extent permitted by applicable Indian law, our total aggregate liability arising out of or related to these Terms shall not exceed the total commercial fees paid by the Client to NB03 in the three (3) months immediately preceding the event giving rise to the claim.
Governing Law & Binding Arbitration
These Terms shall be governed by and interpreted under the substantive laws of the Republic of India.
Any dispute, controversy, or claim arising out of or relating to this agreement shall first be addressed through good-faith amicable discussions for a period of thirty (30) days. If unresolved, it shall be referred to and finally resolved by sole-arbitrator arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in India. Subject to arbitration, the courts having jurisdiction in Jammu and Delhi shall have exclusive jurisdiction.
